Unhappy Win2k problem

I have Win2k pro on an IBM laptop. It has worked as well as a Windows machine can for over a year, but recently my connections have been very slow and there's been some general weirdness.

I noticed that when I start up, there is a cmd prompt window that has the MMC (Microsoft Management Console) icon when it first starts, and it appears to be running something called secedit.exe.
I don't recall ever seeing this before.

I looked in the processes section of task manager, and saw something called taskmngr.exe (not taskmgr.exe) using between 33 an 50 % of the cpu. I killed it, and my performance improved immensely.

My questions are:

why is secedit.exe running all of a sudden

what is taskmngr, and how do I get it to stop using my resources?
